Terms of Use
1. Introduction and Acceptance of Terms
This Agreement is a contract between “You” and “SingX Singapore Pte Ltd” (“SingX”, “we”, “us” or “our”) and applies to your use of the SingX services (the “Services”). SingX Singapore Pte Ltd (UEN: 201533243W) is a wholly owned subsidiary of SingX Pte Ltd (UEN: 201433979Z). Throughout this Agreement, SingX Singapore Pte. Ltd. may be referred to as "SingX", and the terms "SingX" and "SingX Singapore" shall be used interchangeably and shall have the same meaning.
By registering for the Services, you must read, agree with and accept all of the terms and conditions contained in this Agreement. This Agreement is provided to you and concluded in English. You agree that any use of the Services shall constitute your acceptance of the “Agreement” and we recommend that you store or print a copy of the Agreement (including all policies) for your records.
Please read this Agreement carefully and make sure that you understand it fully before using the Services. Please note that if you do not accept this Agreement, you will not be able to use the Services.
2. Our Relationship With You
SingX Singapore Pte Ltd is licensed by the Monetary Authority of Singapore (“MAS”) as a Major Payment Institution under the Payment Services Act 2019 (Licence No. PS20200369) to provide account issuance services (SingX Wallet), cross-border money transfer services, and e-money issuance services. SingX has its registered office at 138 Cecil Street, #04-01, Singapore 069538. Please note that such licensing does not guarantee the performance of SingX.
3. Your Privacy
Protecting your privacy is very important to SingX. Your passwords are stored on SingX servers in encrypted form. We do not disclose your personal data or email addresses to anyone except when legally required to do so and as specified in our Privacy Policy.
Information between your browser and the SingX website (https://www.singx.co/) is transferred in encrypted form using Secure Socket Layer (SSL). When transmitting sensitive information, you should always make sure that your browser can validate the SingX security certificate.
To provide the Services, SingX works with licensed banks, licensed remittance operators, payment service providers, and other regulated financial institutions in the relevant jurisdictions. By providing your information to SingX, you consent to the sharing of such information with these partners, where necessary, for the provision of the Services, compliance with applicable laws and regulations, and the fulfilment of their regulatory obligations.
To facilitate the digital onboarding process and the provision of the services, you authorize SingX to disclose your personal information, including identification documents and demographic information, to our payment partners, correspondents, and service providers for identity verification, transaction processing, compliance with applicable AML/CFT requirements, and other legitimate regulatory purposes. You further authorize SingX to disclose such information where reasonably necessary for the prevention, detection, investigation, or reporting of fraud, financial crime, or other unlawful activities, or where otherwise required or permitted by law.

4. Safeguarding of Customer Funds
Your money is safeguarded under the Payment Services Act 2019. SingX keeps your money in dedicated and segregated accounts held with the approved safeguarding institutions. All monies are held on trust by SingX for you and will not be used to repay any debts of SingX. SingX is not a bank — the Singapore Deposit Insurance Scheme (SDIC) does not apply. If SingX were to become insolvent, you may make a claim for your funds from the segregated accounts, though you may not recover the full SGD-equivalent amount if the safeguarding institution itself becomes insolvent.
5. Transaction History
You can access your details of executed payment transactions and other information relating to your account by logging into the SingX platform or mobile application and navigating to your transaction history.
6. Eligibility
To be eligible for our Services, you must be at least 18 years old. You further represent and warrant to us that you are an individual opening an account for your own personal use and that you are not acting on behalf of an undisclosed principal or a third party beneficiary.
Before being able to use the Service we have to perform mandatory customer identification and verification checks in accordance with applicable laws and regulatory requirements. To facilitate these checks, you may be required to provide personal information and supporting documentation, including identification documents, proof of address, or other information requested by SingX. Such information may be submitted electronically through the SingX platform or through other approved digital channels.
SingX may use electronic identity verification methods to verify your identity and information, including verification through government-supported digital identity services (such as MyInfo), one-time password (OTP) verification, biometric or selfie-based verification, and other trusted data sources and technologies, as recognized by the regulator. For this purpose, you authorize SingX to access, collect, verify, and process your personal data for the provision of services.
SingX reserves the right, at its sole discretion, to refuse any application for an account, decline any transaction, request additional information or documentation, or impose additional verification requirements. Where you provide incomplete, inaccurate, or misleading information, or fail to provide information or documentation reasonably requested by SingX to satisfy its legal, regulatory, risk management, or AML/CFT obligations, SingX may refuse to open an account, suspend or restrict access to the Services, or decline to process a transaction.
7. Services
7.1 Creating a Transfer
To create a transfer, you must log in to the SingX platform, select a payment method (including your Singapore bank account or SingX Wallet), specify the Receiver Account and currency, and enter the transfer amount. You are solely responsible for the accuracy and validity of the receiver information provided by you. SingX processes transactions strictly on the basis of the information provided. If you provide incorrect receiver information, SingX will make reasonable efforts to recover the funds and may charge a recovery fee that is proportionate to SingX’s actual administrative costs, which will be disclosed to you before deduction. SingX cannot guarantee recovery of funds where incorrect receiver information has been provided. Where a payment transaction is unauthorised or incorrectly executed otherwise than as a result of providing incorrect information, SingX’s liability is as set out under the section “Exclusions and Limits of Liability”. SingX will not exclude or limit any liability that cannot lawfully be excluded under the Payment Services Act 2019.
7.2 Exchange Rate, Charges, and Transaction Receipt
The foreign exchange rate applicable to your transaction and all SingX charges are displayed clearly and separately on the SingX platform before you confirm your transaction. The amount that will be credited to the Receiver’s account after all charges and currency conversion will also be shown prior to confirmation. Once you confirm a transaction on the SingX platform, SingX will issue you a transaction receipt confirming: (a) a unique transaction reference number; (b) the transaction amount and currency; (c) all applicable charges and the exchange rate applied; (d) the date and time of SingX’s receipt of your payment order; and (e) transaction expiry time. The transaction reference number and the above details shall constitute the “Payment Receipt”. You will also receive detailed instructions to transfer funds to the SingX client account maintained with licensed safeguarding institutions. The above process shall be referred to as a “Transaction”.
7.3 Transaction Validity Period
You should be aware that each transaction you create has a specified validity period, which will be confirmed to you at the time of completing the transaction on the SingX platform. The foreign exchange rate quoted to you is locked at the time you create the transaction and will apply provided your funds reach SingX before the validity period expires. SingX will provide advance notice of any change to its standard validity periods on its website at https://www.singx.co. The period of time for which the transaction remains valid may change from time to time at our sole discretion and will be confirmed to you at the time of completing the transaction on the SingX platform.
7.4 Funding Responsibility and Expired Transactions
It is solely your responsibility to ensure that your funds reach the SingX client account specified in the Payment Instructions before the validity of the transaction expires. If funds are received after the validity period has expired, the transaction will be marked as “Validity Expired”, will not be processed at the original exchange rate, and SingX will refund your funds to your SingX Wallet or your original funding source, as applicable, without undue delay.
7.5 Processing Timelines and Cut-Off Times
Once funds have been credited to the Receiver’s payment service provider, SingX does not control the time taken by that provider to make funds available to the Receiver. Payment orders received after the applicable cut-off time displayed on the SingX platform will be treated as received on the next business day.
Available currencies and destination countries are updated on the SingX website (https://www.singx.co) from time to time.
7.6 Multiple Transactions
If you have created multiple valid transactions, SingX may at its discretion apply any of those transactions to a specific incoming bank transfer. If you wish to ensure that a specific transaction is matched to a particular bank transfer, it is your responsibility to cancel all other valid transactions before making the transfer.
7.7 Security Checks, Investigations, and Legal Holds
The transaction processing timelines are subject to necessary security and customer identification checks being conducted in accordance with SingX’s policies. Where further investigation or additional information from you is required, SingX will notify you as soon as practicable, which may result in a delay to or cancellation of the transaction. Where SingX is required to withhold or delay a transaction or your funds pursuant to applicable law, a court order, or a direction from a regulatory or law enforcement authority, SingX will notify you to the extent it is legally permitted to do so. SingX will not be liable for any delays or losses arising from compliance with such legal obligations.
7.8 Cancellations, Failed Transactions, and Re-processing
If a transaction is cancelled or fails, any refunded funds will be credited back to your account balance net of SingX fees, third-party charges, bank fees, and any foreign exchange losses incurred. If you request re-processing a transaction, it will occur at the prevailing exchange rate and applicable fees at the time of re-processing, unless otherwise expressly agreed in writing.
7.9 Cash Pay-Outs
SingX offers cash pay-outs for certain countries. This means that when sending money to these countries, you have the choice of sending the credit either to a bank account, or have your receiver collect it in cash from one of the pick-up locations mentioned while creating a transaction. All cash payments are subject to (i) receivers showing documentary evidence of their identity (ii) providing all details about the money transfer as required by the pay-out partner such as sender's name and/or receiver's name, country of origin of remittance, receive amount and/or transaction reference number/PIN code sent to the receiver via SMS and (iii) any other conditions or requirements applicable at the Pay-out Partner location. While these requirements will be provided to you on a best effort basis, it is your receiver's responsibility to check and fulfil all the requirements of the pay-out partner. Cash money transfers shall be paid to the person that Pay-out partners deem entitled to receive the money after verification of identity often through examination of identification documents. It is your responsibility and your receiver's responsibility to ensure that you do not divulge the PIN or other details to anyone. It is also your responsibility to ensure that your receiver does not send this PIN to anyone else, and understands the risks of doing so, especially via insecure electronic communication. Neither SingX nor its Pay-out Partners shall be liable for money being picked up by a person other than the intended beneficiary. Your receiver will need to pick up the cash within 28 business days. After this the transaction will be reversed, and we will refund the money to you after deducting relevant charges once we recover the money from our pay-out partner.
8. Exchange Rates
SingX makes reasonable efforts to undertake transactions at exchange rates aligned to the mid-market rate. SingX relies on aggregated third-party information sources and does not guarantee that the rates match any particular benchmark source at any given time.
We reserve the right at our sole discretion to refuse a transaction (including but not limited to restricting the creation of a new transaction as well as cancelling a transaction already in process). For transactions refused by us, we will notify you as promptly as we reasonably can, provide a reason where it is possible to, and arrange for a refund where applicable. More specifically, the exchange rate may change between the time of posting a transaction and when we receive your money. If the rate changes by more than a certain pre-determined percentage (indicated to you at the confirmation stage), we reserve the right to put the transaction on hold and email you; or refuse the transaction.
9. Transaction Limits
The minimum and maximum transaction limits for transactions may vary depending on the market and we reserve the right to change these limits from time to time.
10. Funding Transactions
All payments done to fund the transaction(s) initiated by you must originate from your own account. You must be either the main account holder or the joint account holder of the bank account from which you send money to us. Transfers from accounts that do not belong to you (including those of your spouse or family members) are strictly prohibited. You are responsible for all charges, including your bank charges, in transferring the funds to us.
SingX may refuse to proceed with the transaction if we cannot match your name registered with SingX with the name on your bank account from which you send the money. In this case you may be liable for an administration charge (which will be disclosed to you and will be proportionate to the additional administrative effort created or exchange rate loss), and will be deducted from your monies provided for the transaction.
11. Cancellation of Transactions
You may cancel your transaction any time before sending the money to our bank account. You will not be able to cancel the transaction once it has been actioned by us.
12. Declined, Suspended, and Restricted Transactions
SingX may, without notice or explanation and without liability to you, delay, refuse, suspend, cancel, or recall any transaction or restrict your access to any part of the Services where SingX determines, in its sole discretion, that it is reasonably necessary or appropriate to do so, including where: (a) you have committed a breach of this Agreement, including any persistent or serious breach; (b) we reasonably believe you are engaging in fraudulent, unlawful, or unauthorised activity, including use of the Services for any prohibited purpose; (c) you have provided false, incomplete, or misleading information, or have failed to provide information or documentation reasonably requested by SingX; (d) we determine that continuing to provide the Services presents an unacceptable legal, regulatory, reputational, financial, or operational risk to SingX; (e) you are subject to any sanctions, restriction, or prohibition under applicable law that affects your eligibility to use the Services; (f) a petition for bankruptcy, insolvency, or any similar proceeding has been filed in relation to you; (g) we are required or directed to do so by a government authority, regulatory body, law enforcement agency, or financial partner; or (h) we otherwise consider it necessary for security reasons or to comply with our legal obligations. Where SingX declines or cancels a transaction, we will endeavour to notify you and, where applicable, arrange a refund of cleared funds, to the extent permitted by law.
13. Your Obligations
You are responsible for ensuring the receiver details you provide are accurate. Once payment instructions have been executed by SingX, transactions cannot be reversed and SingX will not be liable in any way for any loss you suffer as a result of a transaction being carried out in accordance with your instructions.
You agree not to use the Services for any unlawful activity and SingX reserves the right to investigate any suspicious activity or in response to any complaints or reported violations. When investigating any such activity, SingX reserves the right to report suspected unlawful activity to any appropriate person or body and to provide them with any relevant information, including personal data.
Acceptable Use and Prohibited Activities: You may use the Services only for lawful personal purposes and in accordance with this Agreement. You must not use the Services: (a) for any purpose that is fraudulent, deceptive, or otherwise unlawful; (b) to send or receive funds on behalf of any third party unless expressly permitted by SingX; (c) in connection with any activity that violates applicable anti-money laundering, counter-terrorism financing, sanctions, or export control laws; or (d) in connection with any business or activity that SingX has designated as prohibited or restricted, as per its policies and procedures. If you violate any of these requirements, SingX may, without notice, restrict, suspend, or terminate your access to the Services.
Taxes: You acknowledge and agree that the tax or fiscal authorities of certain destination countries or jurisdictions may impose or deduct taxes, levies, or withholding amounts from your transaction or the funds received by the Receiver (“Taxes”). Where applicable, information about Taxes may be displayed in the SingX platform at the time you initiate a transaction. By confirming a transaction, you agree to bear any Taxes applicable to that transaction. You further acknowledge that applicable tax rates and requirements are subject to change from time to time, and SingX is under no obligation to notify you of any such changes. SingX shall not be liable for any Taxes deducted by tax authorities or destination payment institutions in connection with your transactions.
Beneficiary Account Details — No Duty to Detect Inconsistencies: When processing your payment instruction, SingX may rely exclusively on the beneficiary account number or identifier you provide and shall have no duty to detect or verify any inconsistency between the account number and the account name or other beneficiary details you supply. SingX shall not be liable for any misdirected payment arising from such inconsistency. You accept full responsibility for providing accurate and complete beneficiary details with each transaction.
14. Fees
SingX charges a fee on every transaction. All fees are clearly displayed on the transaction page before you confirm a transaction and are also available at https://www.singx.co. Administration charges may be incurred when our receiving bank refuses your transaction due to incorrect payment details, their regulatory requirements or any other valid reason. Any administrative charges from receiving banks will be deducted from your payment amount.
15. Specific Terms and Conditions for ‘Pay With Card’
15.1 Purpose of these Terms of Service
These terms will form a binding contract between you and SingX. When you sign up for the Pay With Card service of SingX you agree that you will be bound by the Terms of Use of SingX services as well as these specific terms for use of Pay With Card Service.
15.2 Prohibited Activities
You must use the SingX Pay With Card Service solely for your own lawful, i.e. business or personal purposes as the case may be. When using the service, you must not:
(a) Make any payment that does not relate to a genuine and lawful underlying payment obligation, purchase of goods or services, or other purpose approved by SingX.
(b) Provide incomplete, incorrect or inaccurate information, including information about the Payors, Payees or End Users, transaction, source of funds or purpose of payment.
(c) Make deliberate overpayments for your tax, supplier, insurance, rent etc.
(d) Use your Payment Card to make payment for someone else.
(e) Pay with a Payment Card that does not belong to you or in case of a corporate card, which you are not authorised to use by the cardholder.
15.3 Your Responsibilities
(a) When using the SingX Pay With Card Service, you are solely responsible for:
(b) Ensuring that the amounts being paid with card are due and payable to the Payee – no chargebacks will be allowed once the transaction has been executed.
(c) All the activity carried out on your account using your Payment Card and your SingX account.
(d) Ensuring that your Payment Card is valid on your Payment Charged Date.
(e) Correctly identifying the Payee and their receiving bank details.
(f) SingX does not issue the Payment Cards or operate your rewards programme. You are solely responsible for understanding the rewards programme associated with your Payment Card.
15.4 The SingX Pay With Card Fee
(a) Pay With Card Fee is not refundable
Whenever SingX makes a payment for you, SingX will charge a fee that is displayed on the payment confirmation page of the Website. This Fee is non-refundable.
(b) Calculating the SingX Fee and your acceptance of it
When you are making a payment using the Pay With Card Service, we will calculate the SingX Fee and display it. You will have the option of not proceeding with the transaction at that point.
(c) Your Payment Card statement
The amount appearing on your Payment Card statement will be a combination of your Payment Amount and the SingX Fee as accepted by you when setting up the payment.
(d) Fee increases
We may increase the SingX fee by giving you at least 30 days’ notice. If you do not agree with the increase, you may terminate your access to Pay With Card Service by giving us no less than 10 days’ notice.
15.5 Finality of Payment
(a) No right to any charge back.
You agree to waive any right to, and acknowledge that you will not, obtain or attempt to obtain from your Payment Card issuer a charge back for the Payment Amount and the SingX Fee made using the Pay With Card Service, including but not limited to where:
•Any of the Payee information you provided to us was incorrect;
•You have a disagreement or dispute with the Payee;
•You selected the wrong Payment Card for the payment;
•You set-up a duplicate payment and SingX has executed both.
(b) No right to a refund from SingX.
We act as an intermediary for Pay With Card users, to transact and are not a party to any agreement to buy, sell or provide goods or services that are paid for using the Pay With Card Service. You remain solely and fully responsible for the timely and complete fulfilment of all your obligations towards your Payee.
16. General Terms
(a) Third Party Services
You acknowledge and agree that SingX is partnering with the LROs and other third party partners and providers in order to deliver you the Services.
Certain Services may be subject to the terms and conditions of the relevant Third-Party Provider. Where applicable, SingX will notify you of such terms, and by using the relevant Service, you agree to comply with them.
You acknowledge that Third-Party Providers operate independently of SingX. SingX shall not be liable for any loss, delay, or failure arising solely from the acts or omissions of a Third-Party Provider, except where such loss, delay, or failure results from SingX's negligence, fraud, wilful misconduct, or breach of applicable law.
(b) Communications
We are required to provide certain information to you in writing. By accepting this Agreement, you agree that we can communicate with you electronically, including by email, SMS, WhatsApp, telephone, secure in-app notifications, push notifications, or by posting notices on the SingX website. Electronic notices shall be deemed delivered upon transmission.
(c) Events Outside of Our Control
If we are unable to perform our obligations under this Agreement because of factors beyond our control, including a change of law, an event of Force Majeure, withdrawal of a currency or the imposition of sanctions over a country or receiver, we will notify you as soon as is reasonably practicable and will use reasonable endeavours to secure the return of any money paid by you in respect of which we have been unable to discharge our obligations under this Agreement. We will not have any liability to you where we are unable to perform our obligations.
(d) Security
You are solely responsible for ensuring that your SingX account is accessed only by authorized individuals and for maintaining the confidentiality and security of your login credentials, passwords, and any other security mechanisms associated with your account. In the event you become aware of or suspect that any such security features have been stolen, misappropriated, disclosed to an unauthorized third party, or otherwise compromised, you must notify SingX immediately at help@singx.co and/or +65 3158 4669. SingX agrees to employ industry-standard security practices to protect your account and to implement these security standards in compliance with applicable regulatory requirements and timelines. In the event that SingX becomes aware of any attempted hack or unauthorized access to your account, SingX will notify you promptly and, in any case, within 24 hours of becoming aware of the incident.
17. Exclusions and limits of liability
i. General Use at Your Own Risk
You acknowledge that you use the Services at your own risk. Except as expressly stated in this Agreement, the Services are provided “as is” and “as available” without warranty of any kind.
ii. Limits on SingX’s Liability
(a) To the maximum extent permitted by law, SingX shall not be liable for:
•Any indirect, consequential, incidental, punitive, or special damages, including loss of profit, business, data, or reputation;
•Any fees, charges, or commissions imposed by intermediary banks, payment providers, or third parties;
•Delays, errors, or failures arising from telecommunications or technology failures outside our control;
•Losses caused by viruses, malware, or other harmful material introduced by you or your systems.
(b) SingX’s total aggregate liability to you for all claims shall be limited to a refund of the amounts you have paid to SingX in connection with the relevant transaction(s).
iii. Specific Transaction Liability
(a) If we fail to execute, or incorrectly execute, a payment instruction, and unless we can show that the beneficiary’s payment service provider received the funds, we will refund to you the amount of the non-executed or defective transaction. Beyond this, we have no further liability for unauthorized or incorrectly executed payments.
(b) We shall not be liable for erroneous or fraudulent information and unauthorized payment instructions provided by you. While we may attempt recovery of misdirected funds, we cannot guarantee success. You remain responsible for all costs of recovery.
(c) We shall not be liable for any delay, suspension, or failure in processing a transaction if it results from compliance checks or requirements under applicable laws and regulations, including anti-money laundering (AML), counter-terrorism financing (CFT), sanctions, or similar regulatory controls, whether conducted by us, our local remittance partners, correspondent banks, or other financial institutions.
(d) Unauthorised Transactions — Notification, Investigation and Refund Clawback: You must notify SingX in writing as soon as you become aware of any transaction that you believe was unauthorised, and in any event no later than thirty (30) days after the date on which the transaction was completed. SingX may investigate any transaction reported as unauthorised or incorrectly executed. You agree to cooperate fully with SingX and provide all information and documentation reasonably requested to assist that investigation. Where SingX determines that a transaction was unauthorised, it will refund the transaction amount together with any fees deducted. SingX will not be obliged to provide a refund, and you will bear full responsibility for the transaction, where: (i) you have acted fraudulently or we have reasonable grounds to believe you have acted fraudulently; (ii) you failed to notify SingX within the 30-day period; (iii) you deliberately or with gross negligence compromised the security of your account or credentials; or (iv) the Services were accessed by an unauthorised person as a result of your failure to comply with your security obligations under this Agreement. If, following investigation, SingX determines that a transaction previously refunded was in fact authorised, or that you acted fraudulently or with gross negligence, SingX reserves the right to recover the refunded amount by deducting it from funds held in your account or by requiring immediate repayment from you.
(e) Set-Off for Negative Balances: If your SingX account goes into a negative balance for any reason, including as a result of a chargeback, reversal of a transaction, deduction of fees, administrative charges, or any other action carried out by you or a third party, the negative amount represents a debt immediately due and owing by you to SingX. You agree to repay such amount promptly without any demand or notice from SingX. You irrevocably authorise SingX to set off any negative balance against any funds that you subsequently transfer to or hold with SingX. SingX reserves the right to take such further steps as it considers necessary to recover any outstanding amounts, including engaging third-party recovery services, and may charge you for reasonable costs incurred in that process.
iv. Force Majeure
SingX shall not be liable for any failure or delay in performing its obligations where such failure or delay results from events beyond its reasonable control, including but not limited to force majeure events, acts of government, regulatory restrictions, sanctions, or changes in law.
v. Indemnity
You agree to indemnify and hold harmless SingX, its directors, officers, employees, and agents from any claims, losses, liabilities, damages, costs, or expenses (including legal costs) arising from:
•Your breach of this Agreement or Applicable Law;
•Your acts or omissions, or those of your End Customers or Authorised Users;
•Claims by your End Customers relating to payments, data, or regulatory matters.
vi. Security Breaches
If viruses, malware, or other harmful material are introduced to the SingX platform from your account or systems, you are liable for the costs of removal, remediation, and any resulting losses. SingX may deduct such costs from your account balance.
vii. Intellectual Property
All intellectual property rights in the SingX platform, website, mobile application, software, APIs, content, text, data, designs, logos, and documentation (collectively, “SingX IP”) belong to SingX or its licensors. Nothing in this Agreement grants you any licence or right to use, copy, reproduce, distribute, modify, reverse engineer, decompile, or create derivative works from any SingX IP, except as strictly necessary for your personal use of the Services in accordance with this Agreement. All third-party trademarks, product names, and company names referenced through the Services are the property of their respective owners. By submitting any feedback, suggestions, ideas, or observations to SingX regarding the Services (“Feedback”), you grant SingX an irrevocable, perpetual, non-exclusive, royalty-free licence to use, reproduce, modify, and incorporate such Feedback into the Services or any other SingX product or service without obligation or compensation to you.
viii. Vulnerability Disclosure
If you discover or become aware of any potential security vulnerability, bug, or weakness in the SingX platform or Services, you agree to report it promptly and in good faith to SingX at help@singx.co. You agree not to exploit, disclose, or share details of any discovered vulnerability with any third party prior to notifying SingX, and to cooperate reasonably with SingX in its investigation and remediation.
ix. Survival
Termination or expiry of this Agreement for any reason shall not affect the continuing force and effect of provisions that by their nature are intended to survive termination, including without limitation the sections on: Exclusions and Limits of Liability; Indemnity; Intellectual Property; Set-Off for Negative Balances; Unauthorised Transactions; Vulnerability Disclosure; Law and Jurisdiction; and any provision imposing an obligation on you with respect to amounts owed to SingX.
x. Severability and Waiver
If any provision of this Agreement is found by a court or arbitral tribunal of competent jurisdiction to be invalid, unlawful, or unenforceable, that provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable, and the remainder of this Agreement shall continue in full force and effect. No failure or delay by SingX in exercising any right, power, or remedy under this Agreement shall operate as a waiver of that right, power, or remedy. No single or partial exercise of any right, power, or remedy shall preclude any other or further exercise of it or the exercise of any other right, power, or remedy.
18. Complaints
We are committed to providing you with the highest standards of service. If you have a complaint, please contact us at help@singx.co or at www.singx.co/contact-us. We will acknowledge your complaint within 3 business days and endeavour to resolve it within 14 business days. If your complaint is not resolved to your satisfaction, you may refer the matter to the Financial Industry Disputes Resolution Centre (FIDReC) at www.fidrec.com.sg, which provides an independent dispute resolution service.
19. Modification of Services
We reserve the right to modify, suspend, or discontinue the Services (or any feature or part thereof) at any time without notice to you. SingX shall have no liability whatsoever on account of any change to the Services, or any suspension or revocation of your access to or use of the Services. Where a modification to the Services is required to comply with applicable law or a regulatory direction, SingX shall implement such modification and, where possible, provide you with reasonable prior notice.
20. Modification of these Terms
We reserve the right, in our sole discretion, to temporarily or permanently change or modify these Terms at any time. If we make changes to these Terms, we will publish an updated version on the SingX website. For material changes that may adversely affect your rights or responsibilities, we will provide at least 14 calendar days’ prior written notice by posting updated terms on our website and notifying you by email. If you do not agree with the changes, please stop using the Services and close your account before the effective date of the revised Terms. Please review these Terms from time to time. Your continued access to or use of the Services after any modifications have become effective shall be deemed your conclusive acceptance of the modified Terms. Nothing in this clause limits any notice obligations under applicable law, including requirements under the Payment Services Act 2019.
21. Entire Agreement
This Agreement and any document expressly referred to in it constitutes the whole agreement between us and supersedes any previous discussions, correspondence, arrangements or understandings between us. We have the right to amend these terms from time to time. For material changes, we will provide at least 14 calendar days’ prior written notice by posting updated terms on our website and notifying you by email. If you do not accept the revised terms, you may close your account before the effective date. Your continued use of the Services after that date constitutes acceptance of the revised terms.
22. Law And Jurisdiction
Any dispute, controversy or claim arising out of or in connection with this Agreement shall first be referred to mediation at the Singapore Mediation Centre. If mediation is unsuccessful within 30 days of referral, the dispute shall be submitted to the Singapore International Arbitration Centre (SIAC) for final arbitration in accordance with the SIAC Rules then in force. The courts of Singapore may be approached only for urgent interim relief or enforcement of arbitral awards.
23. Definitions
"Agreement" - means these Terms of Use, including any policies, schedules, or amendments incorporated by reference.
“Account” or “SingX Account” means an account held with SingX for the purpose of using the Services in accordance with this Agreement. For the avoidance of doubt, a SingX Account is not a bank account and does not carry deposit insurance.
“Applicable Law” means all laws, regulations, directives, rules, guidelines, regulatory requirements, and industry standards applicable to the Services, including but not limited to the Payment Services Act 2019 (Singapore).
"Business Days" means a day (other than a Saturday or Sunday or a Public Holiday) on which banks in the respective markets are open for business.
"Days" means calendar days.
"Fees" means the charges payable by you for the Services as displayed on SingX website (https://www.singx.co) or App and the transaction page prior to confirmation, as may be updated from time to time in accordance with this Agreement.
"Force Majeure" means events or causes including, but not limited to, the following: an act of God, peril of the sea, unavoidable accident of navigation, war (whether declared or not), sabotage, riot, insurrection, civil commotion, national emergency (whether in fact or law), martial law, fire, flood, cyclone, earthquake, landslide, explosion, power or water shortage, failure of a transmission or communication network, epidemic, quarantine, strike or other labour difficulty or expropriation, restriction, prohibition, law, regulation, decree or other legally enforceable order of a government agency, breakage or accident, change of International, State or Commonwealth law or regulation or any damage of SingX’s machinery or systems, unless occurring as a result of an act, omission, default or negligence of you or SingX.
“Licensed Remittance Operator” or “LRO partner” or “LRO” means a regulated third-party remittance provider engaged by SingX to process cross-border transactions.
“Pay With Card” means SingX service enabling the Payor to make payments to various Payees using their payment card.
“Payment card” includes credit or debit cards (issued on payment networks American Express, Master Card, Visa, or any others that SingX may add to the list from time to time) that the Payor chooses to use in conjunction with the SingX Pay with Card Service.
“Payor” means the person providing card charging instructions to SingX to process the payment amount.
“Payee” means the recipient of the payment amount as identified by the Payor.
“Payment Amount” means the amount defined by the Payor for payment to the Payee.
“Payment charge date” means the date when payment card is charged by the Payor.
“Person” means an individual, a body corporate, an association of persons, a trust, a government department or any other entity.
“Personal Data” means data relating to an identified or identifiable natural person as defined under Applicable Law.
“Policy” or “Policies” means any additional terms, guidelines, privacy policies, or agreements published by SingX or accepted by you in connection with the Services.
“Receiver” means a beneficiary to whom you wish to send a payment through the Services.
“Services” means the payment related services provided by SingX through SingX website, as explained under “Services” section above.
"SingX", “we”, “us” or “our” means SingX Singapore Pte Ltd (UEN: 201533243W) with its registered office at 138 Cecil Street, #04-01, Singapore 069538, and includes its successors and any person to whom it has assigned its rights under this Agreement.
“SingX Account Holder” is the SingX customer who contracts with SingX under these Terms of Use for the use of Services.
“SingX Website(s)” means any website, portal, or platform owned and operated by SingX through which the Services are provided, including https://www.singx.co.
"User," "you" or "your" means the person entering into this Agreement with us or using the Service.
